Introduction
These Terms & Conditions govern the use of services provided by ZTECHAI LLC (“ZTECHAI”), a Montana, USA registered company. By becoming a Client, accessing our services, AI voice agents, automations, integrations, or dashboard, you agree to these terms. If you do not agree, do not use our services.
Definitions
“ZTECHAI” refers to ZTECHAI LLC.
“Client” refers to the business entity or organization using our services.
“AI Voice Agents” refers to automated voice systems trained and deployed by ZTECHAI.
“Integrations” refers to connections between ZTECHAI systems and Client systems or APIs.
“Services” refers to all products, features, support, dashboards, telephony, automations, or related capabilities delivered to the Client.
“Third-Party Providers” refers to telephony, LLM, storage, CRM, platforms, and infrastructure utilized by ZTECHAI.
Scope of Service
ZTECHAI provides AI voice agents, automation workflows, data integrations, dashboards, analytics, recording capabilities, and support services. Agents may interact via telephony, chat widgets, web, CRM integrations, or external APIs as configured for each Client.
Client Responsibilities

Provide accurate business data, procedures, scripts, and integration access.

Maintain valid API keys for calendars, CRMs, ERPs, sheets, or other platforms.

Ensure compliance with applicable sector rules (healthcare, financial, real estate, etc.) when deploying agents.

Guarantee lawful use of telephony and AI in Client jurisdictions.
Setup Fees & Billing Model
ZTECHAI charges a setup fee to configure and train AI agents on the Client’s business data, workflows, and integrations. After setup, usage is billed on a pay-as-you-go basis. Additional configurations, agent expansions, or new integrations beyond the initial scope incur new setup fees.
Subscriptions or recurrent charges may apply only when specified in a Client agreement.
Refunds & Trial Policy
ZTECHAI offers a 7-day free trial with up to 60 minutes of usage. Trials may be extended up to 1 month for real-time business testing. If the Client does not wish to continue, cancellation may be requested with feedback.
Refunds are permitted if the Client chooses not to continue after setup, with a 10% deduction from total amount for work completed.
Integrations & Third-Party Providers
ZTECHAI may rely on third-party systems including but not limited to:

Storage

Databases
-
Dashboards

Analytics tools
ZTECHAI may request access to or accept Client-provided credentials for CRMs, ERPs, calendars, communication systems, and APIs.
Data Ownership
ZTECHAI retains ownership of workflows, automations, agents, logic, training configurations, and scripts. Clients retain ownership of their customer data, call logs, and CRM records.
Data Handling & Retention
Call recordings are retained for 14 days. Personal or business data is routed to the Client’s CRM or ERP. Extended retention for recordings, transcripts, or analytics may be purchased separately.
Compliance & Permissions
ZTECHAI operates B2B and supports compliance for regulated industries including healthcare and finance. Clients remain responsible for ensuring their own consent and compliance obligations with end-users.
Clients must ensure that telephony, recordings, and data usage are lawful within their jurisdiction and sector.
ZTECHAI complies with HIPAA, GDPR, and international regulations to the extent applicable to processing.
Client Classification & Risk Profile
ZTECHAI operates as a B2B provider serving business owners (e.g., healthcare, real estate, investment), not consumers.
No services are directed to minors or individuals under 18.
White Labeling & Embedding
ZTECHAI may provide white-labeled agents for Client internal use and branding. Clients may embed agents on their websites. White labeling may not be resold or re-licensed unless expressly agreed.
Prohibited Uses
Clients may not:

Use agents for unlawful activities

Misrepresent AI capabilities as human advice

Reproduce or reverse-engineer workflows

Deploy agents without proper consent in regulated sectors

Circumvent billing mechanisms or usage tracking
Medical & Financial Disclaimer
AI agents do not provide medical, legal, or financial advice. Agents may schedule or route to a human representative for such matters.
Support & Suspension
ZTECHAI may issue warnings or temporarily suspend services due to:

Misuse
-
Non-payment
-
Compliance violations
-
Security concerns
-
Abuse of telephony systems
ZTECHAI will notify Clients prior to suspension when feasible.
Service Availability & Dependencies
Service availability depends on telephony, infrastructure, LLMs, and third-party systems. Outages or delays may occur. ZTECHAI does not guarantee uninterrupted service.
Liability Limitations
ZTECHAI is not liable for:

Loss of revenue

Indirect or consequential damages

Third-party outages

Regulatory penalties resulting from Client misuse

Improper configurations by the Client
Total liability is limited to amounts paid by the Client within the previous 12 months.
Indemnification
Clients agree to indemnify ZTECHAI against claims arising from Client misuse, unlawful recordings, telephony abuses, regulatory breaches, or unauthorized deployments.
Termination
Either party may terminate services with written notice. Upon termination, Client data in ZTECHAI systems will be handled per retention schedules or deletion requests.
International Use & Transfers
Cross-region data transfers may occur to fulfill service functionality. Clients operating internationally must ensure lawful usage within their jurisdiction.
Amendments
ZTECHAI may modify these Terms from time to time. Continued use constitutes acceptance.
Governing Law
These Terms are governed by the laws of the State of Montana, USA.
